TERMS & CONDITIONS

1. ACCEPTANCE OF TERMS

These Terms & Conditions (“Terms”) govern access to and use of the OrderEzee website, software platform, applications, dashboards, APIs, communication tools, integrations, AI-enabled services and related products and services (“Services”).

The Services are provided by OrderEzee Technologies Private limited (“OrderEzee”, “Company”, “we”, “us” or “our”).

By registering, accessing, subscribing to or using the Services, you agree to these Terms and the OrderEzee Privacy Policy. If you do not agree with these Terms, you should not use the Services.

2. ABOUT ORDEREZEE

OrderEzee provides technology solutions designed primarily for businesses including manufacturers, brands, distributors, wholesalers, retailers and sales teams.

Services may include functionality relating to order management, retailer ordering, inventory management, invoicing, sales-force management, distributor management, delivery tracking, returns/refunds, schemes and promotions, customer communications, WhatsApp integration, marketing tools, analytics, digital ledgers, payment/accounting integrations, AI and voice assistants, ORDERBOX, and APIs.

3. BUSINESS USE

OrderEzee is primarily intended for lawful business use. You represent that information supplied during registration is accurate, you have authority to represent your organisation, and you possess all licences and approvals necessary for your business. OrderEzee does not independently certify the legality of a customer's business.

4. ACCOUNT REGISTRATION & 5. ORGANISATION ADMINISTRATORS

You are responsible for maintaining confidentiality of credentials. Business customers may appoint administrators to create users, assign permissions, configure integrations, and administer Services. OrderEzee is entitled to rely upon instructions issued through authorised administrator accounts.

6. SUBSCRIPTIONS AND COMMERCIAL TERMS

Certain OrderEzee Services are chargeable (activation fees, subscriptions, user fees, transaction charges, integration fees, AI usage). The commercial proposal or Order Form governs pricing. Taxes are additional unless expressly stated.

7. PAYMENT & 8. THIRD-PARTY CHARGES

Customers shall pay invoices within the agreed timeframe. Third-party services (WhatsApp messaging, SMS, payment gateways, banking, telecom, cloud) charge separately unless expressly included in an OrderEzee commercial proposal.

9. CUSTOMER DATA & 10. CUSTOMER RESPONSIBILITY FOR DATA

The customer retains ownership of its business data. The customer grants OrderEzee a limited license to host and process data to provide Services. Customers must ensure they have legal rights to upload data and refrain from uploading unlawful or infringing content.

11. META, FACEBOOK AND WHATSAPP

Customers using Meta/Facebook/WhatsApp integrations agree to comply with applicable platform policies and refrain from spam. Platform approvals and service uptimes are subject to third-party policies outside OrderEzee's control.

12. THIRD-PARTY INTEGRATIONS

OrderEzee may integrate with third-party gateways, accounting software, and banks. OrderEzee does not control third-party services and may modify integrations if a provider changes or discontinues its service.

13. PAYMENTS & 14. CREDIT / FINANCING FEATURES

OrderEzee is not a bank. Where credit, lending or financing facilities are made available through a regulated entity (bank/NBFC), the respective institution is responsible for KYC, credit limits, pricing, and sanction decisions. OrderEzee acts solely as a technology platform.

15. ARTIFICIAL INTELLIGENCE & 16. VOICE AI

AI outputs are generated automatically and can occasionally be inaccurate. Users must independently verify critical information. Customers using Voice AI must ensure compliance with telecom rules, DND registries, and consent laws.

17. ACCEPTABLE USE & 18. CONTENT STANDARDS

Users must not commit fraud, impersonate others, violate laws, distribute malware, scrape data without permission, or send unsolicited bulk spam.

19. INTELLECTUAL PROPERTY & 20. LIMITED LICENCE

OrderEzee and its licensors retain all proprietary rights in the platform, source code, dashboards, AI systems, workflows, and logos. Customers receive a limited, revocable, non-transferable licence for internal business use.

21-27. CONFIDENTIALITY, SERVICE AVAILABILITY & WARRANTIES

Each party agrees to protect the other's confidential information. Paid services are provided with reasonable skill and care consistent with standard SaaS practices.

28. NO GUARANTEED BUSINESS OUTCOME

OrderEzee provides software tools. OrderEzee does not guarantee increased revenue, sales, customer acquisition, or distributor performance. Commercial decisions remain the customer's responsibility.

29. LIMITATION OF LIABILITY & 30. INDEMNITY

Neither party is liable for indirect or consequential damages. OrderEzee's total liability shall not exceed fees actually paid during the six months preceding the event. Customers indemnify OrderEzee against third-party claims arising from unlawful customer content or misuse.

31. SUSPENSION & 32. TERMINATION

OrderEzee may suspend or terminate services for non-payment, security risk, fraud, or material breach. Customers should export required business data before termination.

33-37. ELECTRONIC NOTICES & CHANGES

Notices may be delivered electronically via dashboard, email, or website. Terms may be updated with reasonable notification.

38. GOVERNING LAW & 39. DISPUTE RESOLUTION

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of competent courts in New Delhi, India.

40. GRIEVANCE REDRESSAL

41-46. MISCELLANEOUS & ACKNOWLEDGEMENT

Includes standard provisions on severability, non-waiver, assignment, order of precedence, and full agreement. By subscribing to or using the Services, you acknowledge that you have read and agree to these Terms.
